Terms and Conditions

These Terms and Conditions (“Terms”) are a legal agreement between you (“you,” “user”) and We Are Whistle Inc. (“Company,” “we,” “us,” or “our”) and govern your access to and use of our websites, applications, membership portals, events, content, and services (collectively, the “Platform”), whether as a guest, applicant, or registered member.

By using the Platform, you accept and agree to be bound by these Terms and by our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree with these Terms, you must not access or use the Platform.

The Platform is offered and available only to users who are at least 18 years of age and able to form a binding contract. By using the Platform, you represent that you meet these requirements.


1. CHANGES TO THESE TERMS

We may update or revise these Terms from time to time in our sole discretion. All changes are effective when posted and apply to all use of the Platform thereafter.

Your continued use of the Platform following the posting of updated Terms means that you accept and agree to the changes. You are responsible for checking these Terms periodically.


2. PRIVACY POLICY

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Platform, you consent to all actions taken with respect to your information as described in the Privacy Policy.


3. DISCLAIMER

Your use of the Platform is also subject to our Disclaimer, which outlines the limitations of any educational, financial, or professional content provided. The Disclaimer is incorporated into these Terms.


4. ACCESS TO THE PLATFORM AND ACCOUNT SECURITY

We reserve the right to withdraw, modify, or discontinue the Platform, or any service or material provided, in our sole discretion without notice. We will not be liable if any part of the Platform is unavailable at any time.

To access some features of the Platform, you may be required to create an account and provide registration details. You agree that all information you provide is accurate, current, and complete.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree not to share your username, password, or other security information with any other person.

You must notify us immediately of any unauthorized access to or use of your account.

We may disable any account at any time in our sole discretion if we believe you have violated these Terms.


DIGITAL PLATFORM LIABILITY 

The WHISTLE digital platform, including websites, portals, communications tools, and integrations with third party services (collectively, “Digital Platform”), is provided for member convenience and community engagement.

You acknowledge and agree that:

  1. The Digital Platform may experience interruptions, delays, or errors.
  2. The Company does not guarantee continuous, secure, or error free operation of the Digital Platform.
  3. The Company is not responsible for loss of data, messages, or content that you or others upload or transmit, whether due to technical failure, account changes, or termination.
  4. You are responsible for maintaining backup copies of any content or information that is important to you.
  5. The Company may, at its discretion, change or discontinue any part of the Digital Platform at any time.

To the maximum extent allowed by law, the Company will not be liable for damages arising from your use of, or inability to use, the Digital Platform beyond the limitations of liability already described in the Terms and Member Agreement.


5. INTELLECTUAL PROPERTY RIGHTS

The Platform and its entire contents, features, and functionality, including text, graphics, logos, images, audio, video, software, and design, are owned by the Company or its licensors and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business use, in accordance with these Terms.

You agree that you will not:

  • Copy, modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any content from the Platform, except as expressly authorized.
  • Remove or alter any copyright, trademark, or other proprietary notices.
  • Use any content for commercial purposes not authorized in writing by the Company.

The WHISTLE name, logos, and related marks are trademarks of We Are Whistle Inc. You may not use these without our prior written consent.


6. PERMITTED AND PROHIBITED USES

You may use the Platform only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Platform in any way that violates applicable law or regulations.
  • Use the Platform to exploit, harm, or attempt to exploit or harm others.
  • Interfere with or disrupt the operation of the Platform.
  • Introduce malware, viruses, or other harmful material.
  • Attempt to gain unauthorized access to any part of the Platform, server, or network.
  • Use the Platform to send unsolicited or unauthorized marketing or promotional material.

We may restrict or terminate your access if we believe your use is improper or violates these Terms.


7. MEMBERSHIP, FEES, AND PAYMENT

Certain areas of the Platform are available only to approved WHISTLE members.

7.1 Membership Application and Acceptance

Membership is by application, invitation, or referral and is subject to review and acceptance by the Company. We reserve the right to accept or deny applications in our sole discretion.

7.2 Membership Dues

If you are accepted as a member, you agree to pay membership dues and fees as communicated to you at the time of enrollment.

Unless stated otherwise in writing:

    • Membership dues are payable annually or in approved installments.
    • Membership dues are generally non-refundable, except where required by law or explicitly stated in a written membership offer.


7.3 Payment Processing

Payments are processed through third-party payment providers. By providing payment information, you authorize us and our payment processors to charge applicable fees.

You are responsible for any taxes that may apply.


8. CANCELLATIONS AND REFUNDS

Unless otherwise specified in a written membership or program agreement:

  • Membership dues and event fees are non-refundable once paid.
  • If you cancel your membership or access, you are not entitled to a refund for any unused period.

In exceptional cases, we may consider partial or full refunds at our sole discretion. Any refund granted may result in termination of your access to the Platform and related materials.


9. USER CONTENT AND SUBMISSIONS

The Platform may allow you to submit, post, upload, or otherwise provide content such as comments, profiles, messages, or other materials (“User Content”).

You retain ownership of your User Content, but by providing it, you grant the Company a non-exclusive, worldwide, royalty-free license to use, copy, distribute, display, and create derivative works for the purposes of operating and improving the Platform, promoting WHISTLE, and fulfilling our services.

You represent and warrant that:

  • You own or control all rights in and to the User Content.
  • The User Content does not violate any rights of others or any applicable law.

We reserve the right to remove or refuse any User Content in our sole discretion.


10. COMMUNITY AND COMMUNICATION FEATURES

The Platform may include communication or community features, such as forums, groups, messaging, event chats, or other interactive areas.

You agree to:

  • Respect other members and engage in professional, lawful, and non abusive communication.
  • Not harass, threaten, defame, or discriminate against any individual or group.
  • Not use the Platform to solicit, spam, or aggressively pitch unrelated products or services.

We may monitor, moderate, or remove content in our discretion but have no obligation to do so.

Separate Code of Conduct or community guidelines may apply and are incorporated into these Terms where provided.

1. THIRD PARTY LINKS AND SERVICES

The Platform may contain links to third party websites or services. These are provided for convenience only.

We do not control and are not responsible for the content, policies, or practices of any third party sites or services.

Your use of third party sites is at your own risk and subject to their terms and policies.


12. EDUCATIONAL AND INFORMATIONAL USE ONLY

As further detailed in our Disclaimer, the information provided on the Platform is for educational and informational purposes only and does not constitute legal, financial, tax, investment, medical, or other professional advice.

You are solely responsible for your decisions and actions.


13. INVESTMENT & CAPITAL DISCLAIMER

WHISTLE and We Are Whistle Inc. operate as a private membership network and leadership community. Nothing on the Platform or in any WHISTLE communication, event, forum, or program is intended to:

  • Constitute an offer to sell or a solicitation of an offer to buy any securities or financial instruments.
  • Provide investment, legal, tax, or financial advice.
  • Create a broker-dealer, investment advisor, or fiduciary relationship.

Any references to capital, funding, investment, or deal opportunities are provided for general informational and networking purposes only. WHISTLE does not recommend, structure, evaluate, endorse, or guarantee any transaction. All business relationships, investments, partnerships, or financial transactions discussed, facilitated, or introduced through WHISTLE occur independently of We Are Whistle Inc. and are undertaken solely at the risk of the participants. Members, sponsors, partners, and guests are solely responsible for conducting their own due diligence and obtaining independent professional advice before entering into any transaction.


14. NO GUARANTEE OF RESULTS

We do not guarantee any particular outcome, business result, financial return, or professional advancement from use of the Platform, membership in WHISTLE, or participation in any event or program.

Any examples of results are illustrative only.


15. NO WARRANTIES

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement.

We do not warrant that the Platform will be error free, secure, uninterrupted, or that any defects will be corrected.


16. LIMITATION OF LIABILITY

To the maximum extent permitted by law, We Are Whistle Inc. and its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of, or inability to use, the Platform.

Our total liability to you for any claim arising out of or relating to these Terms or the Platform will not exceed the amount you paid to us, if any, for access to the Platform in the twelve months preceding the claim.

Some jurisdictions do not allow certain limitations of liability. In such cases, the limitations above apply to the fullest extent permitted by law.


17. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless We Are Whistle Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of the Platform.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any third party rights.



18. INTERNATIONAL USERS

The Platform is controlled and operated from the United States. If you access the Platform from outside the United States, you are responsible for compliance with local laws.

You agree that you will not access or use the Platform in any jurisdiction or manner prohibited by applicable law.


19. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising from or relating to them or the Platform are governed by the laws of the State of Florida, United States, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally will be resolved exclusively through binding arbitration in Florida, unless otherwise required by law.

  • Arbitration will be conducted on an individual basis.
  • Class actions or class arbitrations are not permitted.

You agree to waive any right to a trial by jury.


20. TERMINATION

We may terminate or suspend your access to all or part of the Platform, including membership access, at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination, your right to use the Platform ceases immediately. Certain provisions of these Terms will survive termination, including ownership, warranty disclaimers, limitations of liability, and dispute resolution provisions.


21. NO JOINT VENTURE OR AGENCY

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and the Company.


22. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Disclaimer, any Member Agreement, and any other policies or guidelines posted by us, constitute the entire agreement between you and We Are Whistle Inc. with respect to the Platform.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

WHISTLE CODE OF CONDUCT

Effective Date: December 9, 2025

WHISTLE is a curated community built on trust, cultural pride, and high performance. This Code of Conduct describes how we expect members and guests to behave in WHISTLE spaces.

By participating in WHISTLE in any capacity, you agree to abide by this Code.

1. Guiding Principles

Members of WHISTLE commit to:

  • Integrity in word and action.
  • Respect for people, culture, and context.
  • Confidentiality in sensitive matters.
  • Contribution over extraction.

2. Respectful Conduct

You agree to:

  • Treat all members, guests, and partners with respect and professionalism.
  • Avoid harassment, discrimination, or abusive behavior of any kind, including that based on race, nationality, gender, sexual orientation, religion, disability, or any other protected characteristic.
  • Engage in disagreement with curiosity, not hostility.

Harassment or discriminatory behavior may lead to immediate review and potential removal.

3. Confidentiality and Discretion

  • Stories, strategies, and sensitive information shared in WHISTLE spaces, including the Capital Tables, Quarterly Capital Circles, on the membership portal, and private events, are confidential unless clearly marked as shareable.
  • You may discuss themes and lessons, but not attribute quotes, strategies, or personal details to specific individuals without prior permission.

This is a Chatham House Rule inspired environment: you may use the information, but you may not reveal identity or affiliation without consent. 

4. Solicitation and Commercial Conduct

WHISTLE is a relationship-first community, not a cold-sales arena.

You agree not to:

  • Spam or mass-pitch members.
  • Add members to mailing lists without explicit consent.
  • Use WHISTLE platforms primarily for self-promotion or aggressive sales.

You may explore collaborations and business opportunities, but they must be grounded in mutual respect and voluntary engagement.

5. Conflicts of Interest and Ethics

  • You are expected to disclose any conflicts of interest where they may affect trust or decision-making.
  • You will refrain from using confidential information obtained through WHISTLE for unfair competitive advantage or harm to another member or partner.

6. Use of WHISTLE Spaces and Brand

  • You may not present yourself as an employee, agent, or official representative of We Are Whistle Inc. unless formally authorized.
  • You may refer to yourself as a WHISTLE member in your professional materials, provided the reference is accurate and not misleading.
  • You may not create programs, events, or sub-groups under the WHISTLE name without written permission.

7. Digital Conduct

In all online spaces, including forums, chats, and virtual events, you agree to:

  • Communicate clearly, respectfully, and in alignment with this Code.
  • Not share login details or grant unauthorized access.
  • Avoid posting malicious content, threats, or harmful links.

8. Reporting Concerns

If you experience or witness behavior that violates this Code:

  • You are encouraged to report it to the Company at: support@wewhistleglobal.com (or another specified address).
  • Reports will be handled with discretion and care.

9. Enforcement

The Company reserves the right, in its sole discretion, to:

  • Issue a verbal or written warning.
  • Suspend access to certain events or platforms.
  • Terminate membership, without refund, in serious or repeated cases.

Decisions regarding enforcement are final.
